These Terms of Service ("Terms") govern your access to and use of the shigotech.io website and the Shigo CTV ad tech platform (collectively, the "Service"), operated by Shigo Ad Server Solutions LTD ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
By accessing our website, creating an account, or using any part of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you use paid features of the Service, you agree to pay all applicable fees as outlined in your service agreement or insertion order. Payment terms, including billing cycles, payment methods, and any applicable taxes, will be specified in your individual agreement with Shigo. Late payments may be subject to interest charges and suspension of services.
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect data. You are responsible for ensuring that your use of audience data, targeting, and ad serving through our platform complies with all applicable privacy laws and regulations, including GDPR, CCPA, and COPPA.
To the maximum extent permitted by applicable law, Shigo and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of data, or business interruption, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability.
Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Shigo in the twelve (12) months preceding the claim. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above limitations may not apply to you.

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Shigo does not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee specific fill rates, CPMs, or revenue outcomes.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to jurisdiction in the state or federal courts located in Delaware.
