Terms of Service

These Terms of Service ("Terms") govern your access to and use of the shigotech.io website and the Shigo CTV ad tech platform (collectively, the "Service"), operated by Shigo Ad Server Solutions LTD ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing our website, creating an account, or using any part of our platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

Shigo provides an independent, full-stack connected television (CTV) advertising technology platform. Our Service includes, but is not limited to:

• Supply-Side Platform (SSP) for publishers, broadcasters, and content owners to monetize CTV inventory through programmatic auctions
• Demand-Side Platform (DSP) for agencies and advertisers to access premium CTV supply with transparent pricing and direct supply paths
• Data Management Platform (DMP) providing dedicated, isolated audience data storage, segmentation, and activation capabilities
• Ad serving infrastructure including server-side ad insertion (SSAI) and ad pod management
• AI-powered optimization tools, expert agents, and automation capabilities via MCP integration
• Real-time reporting, analytics, and log-level data access

3. User Accounts and Responsibilities

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with unauthorized third parties

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Intellectual Property

The Service, including all software, algorithms, user interfaces, designs, text, graphics, logos, and trademarks, is the exclusive property of Shigo or its licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

You may not:

• Copy, modify, or create derivative works of the Service or its components
• Reverse engineer, decompile, or disassemble any part of the platform
• Remove, alter, or obscure any proprietary notices or labels
• Use our trademarks, logos, or branding without prior written consent

5. Prohibited Uses

You agree not to use the Service to:

• Generate or facilitate invalid traffic, fraudulent impressions, or ad fraud of any kind
• Violate any applicable laws, regulations, or industry standards (including IAB, MRC, and TAG guidelines)
• Infringe upon the intellectual property rights of any third party
• Transmit malware, viruses, or other harmful code
• Interfere with or disrupt the integrity or performance of the Service
• Attempt to gain unauthorized access to any part of the Service or its infrastructure
• Scrape, harvest, or collect data from the Service through automated means without authorization
• Serve advertisements containing illegal, misleading, or harmful content
• Circumvent or manipulate auction mechanics, bidding processes, or pricing algorithms
• Use the platform to target or collect data from children under 13 in violation of COPPA

6. Payment Terms

If you use paid features of the Service, you agree to pay all applicable fees as outlined in your service agreement or insertion order. Payment terms, including billing cycles, payment methods, and any applicable taxes, will be specified in your individual agreement with Shigo. Late payments may be subject to interest charges and suspension of services.

7. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect data. You are responsible for ensuring that your use of audience data, targeting, and ad serving through our platform complies with all applicable privacy laws and regulations, including GDPR, CCPA, and COPPA.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Shigo and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost profits, loss of data, or business interruption, arising out of or related to your use of or inability to use the Service, regardless of the theory of liability.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to Shigo in the twelve (12) months preceding the claim. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so the above limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless Shigo and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your infringement of any third-party rights
• Any content or data you provide through the Service
• Any fraudulent or invalid traffic originating from your account or inventory

10. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Shigo does not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not guarantee specific fill rates, CPMs, or revenue outcomes.

11. Termination

Either party may terminate the use of the Service at any time. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice, if:

• You breach any provision of these Terms
• We detect fraudulent activity, invalid traffic, or policy violations
• Continued use of the Service poses a risk to the platform or other users
• Required by law or regulatory action

Upon termination, your right to use the Service will cease immediately. Provisions that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) shall remain in effect.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, unless both parties agree to jurisdiction in the state or federal courts located in Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated by posting the updated Terms on our website with a revised effective date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements or insertion orders, constitute the entire agreement between you and Shigo regarding the use of the Service and supersede all prior agreements, understandings, and communications.
